These Terms of Service ("Terms") govern the AgroConectSH subscription plans offered by hQube LLC, a Delaware limited liability company, 16192 Coastal Highway, Lewes, DE 19958, USA ("hQube", "we", "us"), acting through its AgroConectSH division. By starting a trial or subscription you ("Customer") accept these Terms on behalf of your business.
AgroConectSH plans are offered exclusively to businesses, farms, cooperatives, agronomic service providers and other commercial or public organisations acting in the course of their trade. They are not offered to consumers. By subscribing you confirm that you act for a business purpose and that you are authorised to bind your organisation.
AgroConectSH provides soil-intelligence software (the AgroConectSH mobile app for iOS and Android and related cloud services), AI-assisted agronomic analysis, and sensor hardware as described in Section 6.
Access is linked to the email address used at checkout. Users sign in to the app with that email (directly, or through Google or Apple sign-in using the same address).
New subscriptions start with a 14-day free trial. A valid payment method is required at checkout. Unless you cancel before the trial ends, the subscription converts automatically to a paid monthly subscription and your payment method is charged. Sensor hardware shipped during the trial is subject to Section 6.
Plan fees are charged monthly in advance in the currency selected at checkout, through our payment processor Stripe. Prices exclude taxes. Where applicable, VAT or similar taxes are added or accounted for under the reverse-charge mechanism based on the tax ID you provide. If a payment fails, we will retry and notify you; access may be suspended if an invoice remains unpaid for 14 days. We may change prices with at least 30 days' notice; changes apply from the next billing period after notice.
You can cancel at any time through the Manage billing portal or by emailing support@agroconect.com. Cancellation takes effect at the end of the current billing period; you keep access until then. Fees already paid are not refunded, except where required by law or under the service credits in Annex A.
At checkout you choose one sensor kit. The ownership and return rules for each kit are set out in Annex B and form part of these Terms. In short: biodegradable biosensors are yours to keep; Dragino LoRaWAN kits are loaned and must be returned within 30 days after the subscription ends, otherwise a non-return fee applies.
You retain all rights in the field, sensor and farm data you or your users provide ("Customer Data"). You grant us a licence to process Customer Data to provide, secure and support the service. We may use Customer Data in aggregated and de-identified form to improve our models and services. Where we process personal data on your behalf, our Data Processing Agreement applies. Our Privacy Policy explains how we handle personal data for our own purposes.
AgroConectSH provides decision support. Recommendations are estimates based on sensor readings, models and the information available to us, and they do not replace professional judgement, laboratory analysis where required, or compliance with local law (for example fertiliser regulations such as the German Düngeverordnung). You remain responsible for decisions and applications made on your land.
You will not misuse the service, attempt to access it other than through the interfaces we provide, share accounts beyond your seat allowance, reverse engineer the software, or use it in breach of law. We may suspend access that threatens the security or integrity of the service.
Service availability, support response times and service credits are defined in the Service Level Agreement in Annex A.
Except as expressly stated in these Terms, the service is provided "as is". To the maximum extent permitted by law, neither party is liable for indirect or consequential losses, including lost profits, lost yield or crop loss, and each party's total liability arising out of these Terms in any 12-month period is limited to the fees paid by the Customer in that period. These limits do not apply to liability that cannot be limited by law, to fraud, or to the Customer's payment obligations and obligations under Annex B.
These Terms apply for as long as you have an active trial or subscription. Either party may terminate for material breach that is not remedied within 14 days of written notice. On termination, access ends, Annex B applies to any loaned hardware, and Customer Data is handled as described in the Data Processing Agreement.
We may update these Terms. We will give at least 30 days' notice of material changes by email or in the app. Continued use after the effective date constitutes acceptance; if you do not agree, you may cancel before the change takes effect.
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules; the courts of Delaware have jurisdiction, without prejudice to mandatory law. Questions: support@agroconect.com. Company details: see our Impressum.
We target 99.5% monthly availability of the AgroConectSH cloud platform (the backend services used by the app). Availability excludes: scheduled maintenance of up to 4 hours per month announced at least 48 hours in advance; outages of third-party services outside our control (including app stores, mobile networks, LoRaWAN or other connectivity at the Customer's site); problems caused by the Customer's equipment, configuration or misuse; and force majeure.
To receive a credit, email support@agroconect.com within 30 days after the end of the affected month. Credits are applied to future invoices, cannot exceed 25% of the monthly fee, and are the Customer's sole remedy for unavailability.
Biodegradable biosensors are sold as part of your plan. Ownership passes to you on delivery, and you keep them if the subscription ends. They are designed to degrade in the field; no return is required.
Dragino sensors and any gateway supplied with them remain the property of hQube and are loaned to you for the duration of your subscription. You must take reasonable care of them and use them only for AgroConectSH.
